Oprativ Terms of Service

1. The service.

Oprativ is desktop and browser software that organises your business information on your own systems and provides AI-assisted preparation of business work, subject to your approval of consequential actions. These terms govern your subscription and use.

2. Your account and licence.

A subscription grants a personal, non-transferable licence for your business to install and use Oprativ per your plan, on devices you control, for the paid period. Licence keys identify your subscription; keep them confidential. We may revoke keys obtained or used fraudulently.

3. Payments, billing, taxes.

Purchases are processed by Paddle (Paddle.com Market Ltd or its affiliates), our merchant of record. Paddle is the seller of record for the transaction; Paddle's checkout terms apply to payment processing; applicable VAT/sales tax is handled at checkout. Subscriptions renew monthly until cancelled. Cancel any time — access continues to the end of the paid period.

4. Billing, cancellation and refunds.

You can cancel any time in your account; access continues to the end of the paid period and you are not charged again. Because you keep the full month you paid for, we do not offer refunds — see our Billing & Refund Policy, which forms part of these terms. Nothing in these terms limits your non-waivable statutory rights, including under UK consumer law where it applies.

5. Your data and content.

Your business data processed by the product remains yours and remains on your systems (or your designated hosted space). We claim no rights over it. You are responsible for the lawfulness of the data you process with Oprativ and for maintaining backups using the product's backup features or your own.

6. AI outputs — the honest clause.

Oprativ uses artificial-intelligence models to prepare drafts, summaries and suggestions. AI outputs may be incomplete or wrong. The product is designed so that you review and approve consequential actions; you are responsible for what you approve. Oprativ is not a substitute for professional (legal, accounting, tax) advice.

7. Acceptable use.

Don't use Oprativ to break the law, infringe others' rights, send spam, or attempt to circumvent the product's safety architecture, licensing, or usage allowances. Don't reverse-engineer except where law expressly permits. Allowances are per-subscription and subject to fair use; we may throttle abusive automated consumption after notice.

8. Third-party services.

If you connect third-party tools (email, accounting, storage, AI providers — including keys you bring), their terms govern those services. Connections are under your control; we're not responsible for third-party services' acts, omissions or outages.

9. Availability and updates.

Desktop software runs on your machine; hosted and account features are provided with reasonable skill and care but without uptime guarantees at this stage. We ship signed updates and may require critical security updates for continued hosted use.

10. Intellectual property.

We own Oprativ (software, brand, content). You own your data and the business documents you produce with it.

11. Liability.

Nothing excludes liability for fraud, or death/personal injury caused by negligence, or anything else that cannot lawfully be excluded. Otherwise: no liability for indirect or consequential loss, loss of profits, or loss of data (you control backups); our total aggregate liability is capped at the amounts you paid in the 12 months before the claim. The service is provided “as is” beyond the express commitments here.

12. Termination.

You may cancel any time. We may suspend or terminate for material breach (with notice and a chance to remedy where practicable) or legal necessity. On termination your local data remains yours — export is always available in the product.

13. Changes.

We may update these terms; material changes notified by email or in-product at least 14 days ahead. Continued use after the effective date is acceptance.

14. Law and forum.

England and Wales law; courts of England and Wales (consumers keep any mandatory local protections).
